Israel and the European Community have signed an Agreement of Scientific and Technical cooperation

The Office of the Chief Scientist (OCS) of the Ministry of Industry and Trade of Israel took upon itself in the Agreement to support cooperation in industrial research and development between research entities from the EC and Israeli Industries (the "Program") . 

It is assumed that research entities from different countries will cooperate in Industrial R & D if they can perceive the opportunity for the possibility for economic and commercial benefits. 
 
Occasionally governments wish to promote and support industrial research and development as a mean to assist in the enhancement of their own industrial competitiveness. Through cooperation some of the governments have special schemes for the promotion and support of bi-national in projects of industrial R&D and balanced technology transfer, aimed for the development of processes and products. 

Several EU countries have agreements with Israel governing such cooperation. The Procedures are written for those cases where the cooperation project with an Israeli firm is submitted for approval by an EU research entity from a country without an Industrial R&D Cooperation Agreement with Israel. 

The execution of the above mentioned cooperation is referred here by as the "Program". 

Objectives 
The objective of the Program is to promote and support, by funding or otherwise, joint industrial research and development activities of balanced mutual benefit to Israel and countries from The European Community. Israel will also provide services as may be required to promote the Program and to identify potential partners.  Scope of Cooperation 
The scope of the Program includes applied scientific and technological development activities and balanced technology transfer activities for the research and development market-oriented processes and products.  Implementation and Management 
The Office of the Chief Scientist (OCS) of the Ministry of Industry and Trade will act as the organization responsible for the implementation of the Program on behalf of the Government of State of Israel. 
Executive administration and control of the Program will be vested in a Program Manager (PM) appointed by the OCS  Functions and Obligations 
The PM will assume the following functions and obligations: 
  1. Assist in the preparation of applications as necessary, according to national rules and  procedures, for conditional grants or other contributions to finance the projects.

  2. Exchange information in order to follow up the progress of the projects.

  3. Promote the contacts and exchanges between industrial companies in the EU countries and Israel in the field of industrial research and development.

  4. Develop ideas together with individuals and/or organizations which might lead to joint projects in all industrial R&D activities for the benefit of the EU countries and Israel.

  5. Facilitate communication by providing information on relevant subjects in order to promote existing projects and/or potential candidates for new projects.

  6. Maintain commercial confidentiality concerning the details of individual projects supported through an activities of the Program.

  7. Arrange for promotional activities such as seminars and/or visits by industry  representatives to meet with their local counterparts.

Eligibility 
  1. Each project will involve at least one Israeli company and one company from a  European Union. The Companies will develop a product or process project where each corporate entity has a balanced contributing role.

  2. The project will involve development or transfer of technology.

  3. A project proposal describing the planned work and commercialization programs  including Sharing/Owning of Intellectual Property Rights as applicable according to the laws of each country pertaining to Intellectual Property Rights and other relevant laws of both partners and an agreement between the two partners will be submitted for review, evaluation and approval.

  4. Project duration will not exceed three years unless otherwise agreed by  concerned parties specifically.

Project Proposals 
A joint project proposal will define the technical and financial scope of the project, the division of tasks between the parties and a business plan for the commercial exploitation of the product or process to be developed. 
A formal agreement between the two parties will be submitted along with the project proposal and will include a balanced division of the know-how, manufacturing rights and marketing and sharing/owning of Intellectual Property Rights. 

In the case where the EU firm is applying for financial support in its own country it will be obligated to present to the PM and through him to the Israeli Authority, the relevant information concerning this request, its obligations for repayment of the financial support etc., alongside with the application of the Israeli partner to the Israeli authorities. 

Each project proposal will: 

  1. Show a mutual beneficial relationship between the Israeli and company and the EU country companies.

  2. Define exactly what part of the project will be carried out by each company.

  3. Contain evidence that the companies are capable of executing the projects by themselves or through partial sub-contracting to universities, industrial research institutes or other organizations.

  4. Contain a detailed statement of the work will be carried out, by means of a scheduled time program of how the work will be carried out.

  5. Provide a project budget and indicate the contribution of each of the companies’ resources.

  6. Provide a preliminary market study indicating the potential market for the developed product or process.

  7. Provide a copy of the agreement between the companies in confidence. Each agreement will define the project plan, the utilization of the know-how generated by the project, the division of the manufacture of the products to be developed and the marketing role for each partner.

  8. Each proposed project should have a potential benefit for the respective national economies of Israel and the EU Country. 

  9. The Israeli partners and when applicable the EU partner will submit their national application forms to their national organization, in accordance to their national rules and procedures together with a combined project description, work plan, schedule, budget and the agreement between the project partners, in the English language

  10. Specify Sharing/Owning of the Intellectual Property Rights as applicable according to laws of each country pertaining to Intellectual Property Rights and other relevant laws.

Projects Approval 
  1. Each project proposal will be evaluated by the existing mechanisms available to  the OCS and when applicable by the national mechanisms of the EU country.

  2. After the approval by the OCS, a funding agreement will be signed with the Israeli  company according to the Israeli national rules, regulations and procedures.

  3. Payments to each company will be done when applicable according to the national  rules, regulations and procedures.

  4. An agreement with the OCS will also be signed by the EU entity.

Recovery of Funds 
The financing will be recovered according to Israeli national rules, and when applicable with the authorities of the EU country, according to their regulations and procedures.  Abandonment of Projects 
When supported by OCS and when applicable by an EU country, they may cause and/or approve the abandonment and/or termination of a project, after communicating its intention to the project partners. Cancellation may be taken according to operating regulations and procedures in effect in Israel.
